1. Who these terms apply to
These Terms of Service ("Terms") form a binding contract between you and Nuvi when you create an account, use any feature of usenuvi.com, or operate a storefront on our infrastructure. By signing up you confirm you are at least 18 years old (or have legal capacity in your jurisdiction) and have authority to bind the entity you represent.
2. The service
Nuvi is a multi-tenant SaaS platform. We provide e-commerce, content management, AI tooling, and integrations under a tiered subscription model. The exact features available to you are listed on the pricing page that was current when you subscribed.
3. Plans, billing, and platform commission
- You pay the monthly or annual fee for your selected plan.
- On top of payment-processor fees (Stripe / Iyzico / Nuvi Payment), Nuvi collects a platform commission per successful transaction: 5% Free, 3% Starter, 2% Business, 1% Scale, 0% Enterprise.
- VAT and other taxes are added where applicable.
- Annual prepayments are non-refundable except as required by consumer-protection law — see the Refund Policy.
4. Acceptable use
Your use of the platform is bound by our Acceptable Use Policy. We may suspend or terminate accounts that violate it without prior notice.
5. Your content
You retain ownership of all content you upload (products, copy, images, customer lists). You grant Nuvi a worldwide, non-exclusive license to host, store, and transmit that content strictly for the purpose of operating the service. We do not look at your content except as necessary for support, security, or to comply with law.
6. Our intellectual property
The Nuvi name, logo, themes, modules, and underlying source code are the property of Nuvi and its licensors. The Medusa, Next.js, and FastAPI components are licensed under their respective open-source licenses; everything else is proprietary unless explicitly marked otherwise.
7. Confidentiality
Each party agrees to keep the other’s confidential information confidential and to use it only for the purposes of these Terms. This includes pricing, technical details, and customer data.
8. Warranties & disclaimers
The service is provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimer is prohibited by law (in which case the warranty is limited to the minimum required).
9. Limitation of liability
Except for breaches of confidentiality, infringement of intellectual property, or amounts owed under the agreement, neither party will be liable for indirect, incidental, special, or consequential damages. Each party’s aggregate liability is capped at the fees paid by you in the 12 months preceding the claim.
10. Indemnity
You agree to indemnify Nuvi against third-party claims arising from your storefront content, your products, your handling of customer data, or your breach of these Terms.
11. Term & termination
Either party may terminate for material breach with 30 days’ notice if the breach is not cured. We may terminate immediately for fraud, illegal conduct, or non-payment. On termination you may export your data for 30 days, after which it is deleted.
12. Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control: war, natural disasters, internet outages, government action, etc.
13. Governing law & jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. Disputes are subject to the exclusive jurisdiction of the İstanbul courts and execution offices — without prejudice to any mandatory consumer-protection venue rules.
14. Changes
We post material changes 30 days in advance via email and an in-app banner. Continued use after the effective date is acceptance.
